The following set of Frequently Asked Questions were distributed by Redfin Corporation to certain stakeholders on March 25, 2025.
●What does this announcement mean?
On March 9, 2025, we entered into an agreement for Rocket Companies to buy Redfin in an all-stock deal for an equity value of $1.75 billion. This equates to an enterprise value of $2.4 billion, which includes the assumption of Redfin’s debt under its outstanding convertible notes. Until the proposed transaction closes, which is expected in the second or third quarter of 2025, Redfin will keep running as we have, separate from Rocket. Afterward, Redfin will run as a business owned by Rocket. Upon the closing of the proposed transaction, the outstanding shares of Redfin common stock will be canceled, and holders will receive 0.7926 shares of Rocket Class A common stock for each share of Redfin common stock.
●When the proposed transaction closes, will Redfin shareholders get Rocket stock at a fixed value ($12.50 per share of Redfin stock) or a fixed ratio (0.7926 shares of Rocket stock per share of Redfin stock)?
Under the terms of the merger agreement, each share of Redfin common stock will be exchanged for a fixed ratio of 0.7926 shares of Rocket Class A common stock. The exchange will only take place upon the closing of the proposed transaction, so the value of the consideration to be received by Redfin stockholders will be based on the price of Rocket Class A common stock at the time of the exchange. This value may fluctuate between the signing of the merger agreement and the closing of the proposed transaction, or after closing, and could be more or less than an effective valuation of $12.50 per share of Redfin common stock.
●What does it mean that this is an all-stock deal vs. all-cash deal?
As you know, this proposed transaction is an all-stock deal. In an all-stock deal, stockholders of the company being acquired receive shares of the acquiring company’s stock at the close of the transaction. In an all-cash deal, stockholders of the company being acquired receive cash for each share they hold at the close of the transaction.
●We both have partner programs; how will that be handled?
Our Partner Program will operate business as usual until the proposed transaction closes. We don’t expect any immediate changes to the Partner Program. More clarity will be provided as the integration process continues.
●Will there be a Q2 2025 Promotion Cycle?
Q2 promotions will continue as planned.
